Circular of State Administration of Foreign Exchange on Relevant Procedure Issues related to Implementation of Administrative License
of Foreign Exchange Control

In accordance with the stipulations in the Administrative License Law, aiming to perform well the administration work on foreign exchanges
control and administrate licensing by the law, relevant issues are hereby notified as follows.

I.

Publicity

All the branches and sub-branches (hereinafter referred to as the Foreign Exchange Bureau)under the State Administration of Foreign
Exchanges (the SAFE)Foreign Exchange Bureau shall make all the current licensing items under its jurisdiction public, including post_titles,
necessary application materials, the handling procedures, the time limit to handle. The publicity shall be put noticeably at the
offices for an easy access to the applicants.

II.

Handling

The Foreign Exchange Bureau shall check carefully and handle, according to the law, the application for administrative licensing presented
by the applicants. If it is under the bureau’s jurisdiction, conforms to the required form, and complete materials are provided,
the application shall be handled, and the Circular on Handling the Application for the Administrative Licensing by the SAFE ￿a￿Branch (sub-branch) shall be presented (See Attachment 1). And for the application that a license decision can be made and issued
on the spot, the notice of acceptance of application for administrative license can be omitted; but if the applicants require it,
the Foreign Exchange Bureau shall issue the notice. For the application whose application materials are not complete or fail to conform
to the required form, if possible, all the needed materials to be supplemented or corrected shall be noticed to the applicants on
the spot; if not, the Foreign Exchange Bureau shall inform the applicant of the whole contents that shall be supplemented or corrected
once for all within five days.If the Foreign Exchange Bureau rejects the application for administrative licensing, the Circular of
the Foreign Exchange Bureau￿a￿Branch (sub-branch) on Rejecting the Application for the Administrative Licensing shall be presented
(See Attachment 2).

III.

Examination and Decision

1.

The Foreign Exchange Bureau shall, after accepting the application for administrative licensing, examine application materials. The
administrative licensing shall be made on the spot if the application material is complete and verifiable and conforms to the required
form, and the Foreign Exchange Bureau can make the decision on the spot. If the Bureau can not make a decision on the spot, the administrative
licensing shall be made within the term stipulated in the Article 4 of this Circular.

2.

The decision to approve the application for administrative licensing or not to approve shall be made in written form. For such administrative
license items as the import units’ handling the verification and writing-off of paying the foreign exchanges and the registration
and archival-filing of their paying foreign exchanges, as the export units’ drawing the verification and writing-off instrument of
the export proceeds in foreign exchanges, handling the registration on verification and writing-off of the export proceeds in foreign
exchanges and on the long-term export proceeds in foreign exchanges, making up the special page of verification and writing-off of
the export proceeds in foreign exchanges and the tax refund special page of verification and writing-off instrument of the export
proceeds in foreign exchanges, and making up refund and compensation in foreign exchange under export, as the forex registration,
alteration and cancellation of registration gone through by the organizations in the special economic regions, as well as foreign
exchange registration of overseas investment, the Foreign Exchange Bureau shall, after awarding the applicant the corresponding business
license or affixing their seals of the Foreign Exchange Bureau on the corresponding business license. not release decisions in written
form alone.

If the Foreign Exchange Bureau reject the application for administrative licensing, reasons shall be given in decisions of written
form, and the Foreign Exchange Bureau shall inform the applicant that he enjoy the right to apply administrative reconsideration
to the Foreign Exchange Bureau at a next higher level

3.

The written form of the administrative licensing decision made by the Foreign Exchange Bureau shall conform to the rules on important
vouchers specified in the Circular of the Foreign Exchange Bureau on Printing and Distributing the Guidelines on Regulating the Important
Vouchers, Examination and Approval and Verification, and Archival-filing Administration in Foreign Exchanges Business (Hui Fa [2004]
No.1 ). Where the Circular fails to stipulate the formula and contents or the stipulated formula and contents have been altered by
the Foreign Exchange Bureau, the written form of such decision shall conform to the formula specified by the Foreign Exchange Bureau.

4.

Where, during the checking of the application for the administrative licensing, the Foreign Exchange Bureau finds that the administrative
licensing directly involves the major interest relationship between the applicant and others, the Foreign Exchange Bureau shall inform
the applicant and the interested parties and solicit their opinions.

IV.

Time Limit

1.

Where a decision on the administrative license can not be made on spot, the foreign exchange bureau shall make a decision within 20
working days from the day when it accepts such an application. If it can not make a decision within 20 working days, it may extend
for 10 working days upon the approval of the person in charge of this bureau, and shall give explanations about the extension to
the applicant in written form before the expiration of 20 working days.

2.

For an administrative license that is subject to the examination of a lower foreign exchange bureau before it is reported and submitted
to an upper foreign exchange bureau, the subordinate bureau shall complete the examination within 20 working days from the day when
the application for administrative license is accepted. The upper bureau shall, within 20 working days from the day when the report
is submitted by the lower bureau, complete the examination and make a decision on the administrative license. and

3.

If the time limit of administrative license is otherwise provided for in any law and regulation, such provisions shall prevail.

V.

Hearing

1.

For a hearing as provided for the implementation of administrative license in laws, regulations or rules on the foreign exchange control,
or for any other licensing matters of great importance to the public interests that the foreign exchange bureau considers it necessary
to hold a hearing, the foreign exchange bureau shall hold a hearing in the process of making a decision.

2.

When an administrative license of foreign exchange control is of direct significance to the interests of the applicant or others,
before the foreign exchange bureau makes a decision about the administration, it shall inform the applicant or the interested party
of the right to request for a hearing. Where the applicant or interested party applies for a hearing with 5 working days from the
day when it is informed of such a right, the foreign exchange bureau shall organize a hearing within 20 working days. and

3.

As the applicant or interested party, a non-domestic natural person or organization shall take the interpreter by himself when attending
a hearing organized by foreign exchange bureau.

VI.

Modification

Where an applicant applies for modifying the matters under administrative license, the foreign exchange bureau shall, in accordance
with this Circular, handle the procedure again in the term of reapplying for administrative license.

VII.

Supervision and Check

The foreign exchange shall establish and perfect the supervision system, shall perform the supervisory duties by means of carrying
on regular or irregular inspections on the administrative license made by this bureau or the subordinate bureau, of checking , whether
on spot or not, on the reporting form, date and other relevant materials reflecting the information about the licensee’s activities
under the administrative license.

When conducting supervision and inspection over a licensee’s activities under the administrative license, the foreign exchange shall
note down the information about the supervision and inspection and the handling result, in order to satisfy the consultation from
the public and inspection from the upper bureau.

VIII.

When implementing an administrative license, the foreign exchange bureau shall prove, explain and offer accurate information upon
the applicant’s requests on matters under administrative license, provisions, requirements on material, procedure, reasons for the
decision etc.

IX.

When implementing an administrative license, offering a format for written application and organizing hearing, the foreign bureau
shall not charge anything for that.

X.

Where the regulation on the administrative license of foreign exchange control is of ambiguity or not provided for here in this Circular,
relevant provisions in Administrative License Law of People’s Republic of China and Hui Fa [2004] No. 1 shall be applied to.

XI.

This Circular shall go into effect as of July 1, 2004. The Circular on acceptance and examination and verification of application
and the Circular on non-acceptance and examination and verification of application, both provided for in Hui Fa [2004] No.1 , shall
be invalidated automatically.

This Circular, when received by subordinate bureaus, shall be distributed timely to branch offices within their jurisdictions, and
the relevant information shall be publicized in accordance with the provisions. Provisions in this Circular, after being studied
conscientiously, shall be carried out by each branch office, which shall administer in accordance with the laws and regulations.
Any problem arising in the implementation of this Circular shall be reported to the Department of Comprehensive Affairs of the SAFE
in time.

autonomous regions and municipalities directly under the Central Government, branch bureaus in the municipalities of Shenzhen, Dalian,
Qingdao, Xiamen and Ningbo and the Chinese designated foreign exchange banks,

In order to meet the requirements of China opening up and deepening of the financial reform, satisfy the market demand for enterprises
to evade the risks of foreign exchange rate and further develop China foreign exchange market, in accordance with the Regulations
of the People’s Republic of China on the Management of Foreign Exchange, Interim Measures for the Administration of People’s Bank
of China on the Operation of Settlement and Sales of Long Term Foreign Exchange and other relevant provisions, relevant issues regarding
extension of the operation pilot of long term foreign exchange settlement and sales are hereby notified as follows:

1.

Access Requirements

The designated foreign exchange banks which meet the following requirements can apply for the operation of long term foreign exchange
settlement and sales:

(1)

having obtained the operation qualification for settlement and sales of foreign exchange two years at least (including two years);

(2)

able to seriously implement the administrative provisions of State Administration of Foreign Exchange on the operation of settlement
and sales of foreign exchange, and having no record of material violation of the laws and regulations governing the operation of
settlement and sales of foreign exchange within first two years after submitting the application;

(3)

the operation amount of settlement and sales of foreign exchange of the whole bank in the previous year is over 20 billion USD (including
20 billion USD);

(4)

possessed of strong ability of inter-bank borrowing of local/foreign currency;

(5)

possessed of sound and uniform risk management system, internal control system and other relevant operation regulations of the operation
of long-term foreign exchange settlement and sales;

(6)

possessed of complete technical support system of disposal and risk real-time management of the operation of long-term foreign exchange
settlement and sales;

(7)

possessed of the technical support system of settlement and sales of long term foreign exchange rate, position pooling and issuing
the relevant report forms required by State Administration of Foreign Exchange; and

(8)

other requirements stipulated by State Administration of Foreign Exchange.

2.

Approval Procedures

(1)

Application for the operation of long term foreign exchange settlement and sales by designated foreign exchange banks should abide
by the approval principle of legal person.The applications of policy banks inside China, wholly state-owned commercial banks and
shareholding commercial banks shall be filed by their head offices to State Administration of Foreign Exchange.The application of
city commercial banks inside China, rural commercial banks and other Chinese designated foreign exchange banks shall be directly
filed by their head offices, and the application of foreign banks shall be filed directly by main reporting banks inside China to
branch bureaus of SAFE where they are located, examined by branch bureaus of the SAFE where they are located and be submitted to
the State Administration of Foreign Exchange for approval.

(2)

Where the branches of the designated foreign exchange banks inside China are engaged in the operation of long-term foreign exchange
settlement and sales, the administrative measures that legal person conducts authorization and the branches put on record shall be
abided by.Application for putting on record should be made to branch bureaus of the SAFE where they are located based on the written
authorization documents of head office, qualification certificate of foreign exchange settlement and sales and the approval documents
of State Administration of Foreign Exchange.Until the approval and record by branch bureaus of the SAFE where they are located, the
operation of long-term foreign exchange settlement and sales cannot be launched.

(3)

Sub branch bureaus of the SAFE where they are located shall examine the time limit and legitimacy of business of foreign exchange
settlement and sales operation of the branches of the bank within 20 working days after receiving the material for record of the
bureaus of the bank in accordance with the provisions of Article 1 (1), (2) of the present Circular.Those who satisfy the requirements
can be recorded and the approval and record result should be reported to the International Revenue and Expenditure Department of
State Administration of Foreign Exchange.

3.

Application Documents

The following documents should be submitted if the designated foreign exchange banks apply for the operation of long-term foreign
exchange settlement and sales:

(1)

The application report and feasibility report satisfying the foregoing access requirements;

(2)

License of the operation of foreign exchange settlement and sales;

(3)

Internal administrative rules and systems on the operation of long-term foreign exchange settlement and sales, including:

a.

Administrative provisions of risk exposure of long-term foreign exchange settlement and sales operation;

b.

Administrative provisions of position covering of long-term foreign exchange settlement and sales operation;

c.

Administrative provisions of power limit of long-term foreign exchange settlement and sales operation;

d.

Basic operation provisions of long term foreign exchange settlement and sales operation; and

e.

Accounting provisions of long term foreign exchange settlement and sales.

(4)

Setting and function explanation on technical support system of long term foreign exchange settlement and sales operation; and

(5)

other documents and materials required by State Administration of Foreign Exchange.

4.

The Scope of Business

The following revenue and expenditure of foreign exchange of the institutions inside China can make the application for the operation
of long-term foreign exchange settlement and sales to the banks:

(1)

revenues and expenditure under the trade item;

(2)

revenues and expenditure under the service trade and income items;

(3)

reimbursing foreign exchange loans of the bank itself;

(4)

reimbursing the loan inside China registered by State Administration of Foreign Exchange.

The contract cannot be repeatedly reached based on the same revenues and expenditure of foreign exchange.

5.

The Administration of Business

Besides the principle of real need, the following administrative regulations should be abided by if the designated foreign exchange
banks handle long-term foreign exchange settlements and sales operation:

(1)

Approval of the authenticity of the content of the long term foreign exchange settlements and sales contract should by strengthened
if the designated foreign exchange banks handle long term foreign exchange settlements and sales operation.The revenue and expenditure
of foreign exchange need to be pre-examined and approved by foreign exchange bureaus according to the relevant regulations of the
administration of foreign exchange settlement and sales should be examined the banks based on the valid certificate provided by the
institutions inside China which signed the long term foreign exchange settlement and sales contract in accordance with the administrative
regulations of settlement and sales of foreign exchange;

(2)

If the long-term foreign exchange settlements and sales contract expires, all relevant certificates should be provided by the institutions
inside China according to the administrative requirements of settlement and sales of foreign exchange.After examining the completion
and the authenticity of the documents provided by the institutions inside China, the formalities of the implementation of long term
contract can be done with the institutions inside China; If the institutions inside China cannot provide all effective certificates
in time, the long term contract cannot be implemented and the institutions inside China should shoulder the responsibilities of breach
of the contract.

(3)

The operation of long term foreign exchange settlement and sales should be handled according to the provisions of the contract regarding
the origin of foreign exchange revenue and the purpose of the foreign exchange expenditure.The institutions inside China cannot offset
by using other foreign exchange revenue and expenditure.If foreign exchange revenue and expenditure is inconsistence with the provisions
of the contract, the institutions inside China are regarded as breach of the contract.

(4)

In the two provisions abovementioned, if the default of long term foreign exchange settlement and sales contract is caused by the
institutions inside China, the banks can require the institutions inside China shoulder the caused damage.

6.

Long Term Price-fixing

Settlement and sales of long-term foreign exchange rate is based on the supply and demand of the market and price should be uniformly
fixed with negotiation of the banks which operate the long-term foreign exchange settlement and sales.State Administration of Foreign
Exchange is in charge of the supervision and administration of the price-fixing methods of settlement and sales of long-term foreign
exchange rate.

7.

Period Composing

The maximum period of the contract of long-term foreign exchange settlement and sales operation reached by the designated foreign
exchange banks and the institutions inside China is one year (including one year).The period composing within one year can be confirmed
by the designated foreign exchange banks of their own.

8.

Position Supervision

State Administration of Foreign Exchange administers the designated foreign exchange banks handling the operation of long-term foreign
exchange settlement by implementing integrated position and checks and adjusts integrated position limitation upon the application
of the head offices of all banks.

The designated foreign exchange banks should daily report and submit the daily report forms of integrated position and other relevant
report forms to State Administration of Foreign Exchange in accordance with Circular of State Administration of Foreign Exchange
concerning Adjustment of Bank Reporting of Foreign Exchange Settlement and Sales Position (Hui Fa [2003] No.133).

9.

Business Scrutiny and Sanction

State Administration of Foreign Exchange will irregularly inspect and spot-check the operation of long-term foreign exchange settlement
and sales handled by the designated foreign exchange banks.If there is any of the following activities, State Administration of Foreign
Exchange and its branch bureaus will make the sanctions including fine, withdrawal of the operation qualification and etc.according
to the Regulations of the People’s Republic of China on the Management of Foreign Exchange and the relevant regulations of settlement,
sales and payment of foreign exchange.

(1)

in case that the banks violates the provisions of the present Circular and fails to strictly examine the effective certificate of
the institutions inside China;

(2)

in case that the relevant administrative provisions of position are violated or the relevant report forms fail to be reported and
submitted on time;

(3)

in case that the banks handle the operation of long term foreign exchange settlement and sales without the approval of People’s Bank
of China and State Administration of Foreign Exchange.

The present Circular shall be implemented as of November 1, 2004 and interpreted by State Administration of Foreign Exchange.The branch
bureaus of State Administration of Foreign Exchange shall forward the present Circular to their sub-branches and commercial banks
(including foreign banks) upon receiving the present Circular.Problems encountered in the course of implementation of the present
Circular shall be promptly reported to the State Administration of Foreign Exchange.

Measures for the Classified Administration on the Export of Components and Parts of Civil Aviation, which have been deliberated and
adopted at the 5th executive meeting of the Ministry of Commerce on May 17th, 2006, are hereby promulgated upon the approval of the
General Administration of Customs, and shall come into force 30 days later after the promulgation.

Measures for the Classified Administration on the Export of Components and Parts of Civil Aviation

Article 1

With a view to perfecting the export control of dual-use items and technologies and facilitating the export of components and parts
of civil aviation, the present Measures are formulated in accordance with the Foreign Trade Law of the People’s Republic of China
and the Regulations of the People’s Republic of China on Controlling the Export of Missiles and Related Items and Technologies.

Article 2

The term “components and parts of civil aviation” as mentioned in the present Measures refers to the items that are subject to the
control of the Regulations of the People’s Republic of China on Controlling the Export of Missiles and Related Items and Technologies
and are used for civil aviation (for the names and customs codes, please see “items and technologies listed in the checklist of missiles
and related items and technologies export in “, Attachment 1 the Administration Catalogue of Import and Export Licenses of Dual-Use
Items and Technologies of the Measures for the Administration of Import and Export License of Dual-Use Items and Technologies).

Article 3

The classified administration on licenses shall be adopted on the export of components and parts of civil aviation.

The management on export permit documents shall be adopted for the components and parts of civil aviation exported by such means as
“Goods for Repair” (Code No. 1300), “Temporarily Imported & Exported Goods” (Code No. 2600), “Goods in Bonded Warehouses” (Code
No. 1233), “Leased for Less Than One Year” (Code No. 1500), and “Leasing Trade” (Code No. 1523).

As for the components and parts of civil aviation exported by any means other than the customs supervision means as described in the
preceding paragraph, the export license administration of dual-use items and technologies shall still apply the Measures for the
Administration on Import and Export Licenses of Dual-Use Items and Technologies (Order No. 29 [2005] of the Ministry of Commerce
and the General Administration of Customs).

Article 4

The exporter of components and parts of civil aviation (hereinafter referred to as exporter) shall file an application for the Export
Permit Document with the Ministry of Commerce and submit the following materials:

(1)

The application for export permit;

(2)

The statement of the names (including the model number), producing countries and manufacturers of the components and parts of civil
aviation to be exported;

(3)

The statement of the export purposes, ports of entry and importing countries (regions);

(4)

The guarantee document that the exporter shall abide by the laws and regulations and relevant provisions on export control of the
state;

(5)

Other documents as required by the Regulations of the People’s Republic of China on Controlling the Export of Missiles and Related
Items and Technologies.

Article 5

The Ministry of Commerce shall accept the application after receiving the complete and effective application materials, and issue
an Export Permit Document to the qualified applicant within the examination time limit as stipulated in the Regulations of the People’s
Republic of China on Controlling the Export of Missiles and Related Items and Technologies.

In the Export Permit Document, such contents shall be specified as the exporter, customs supervision means, importing country (region),
name and customs code (including the model number) of the components and parts of civil aviation and the effective date of the Document
and port of entry (for the format see attachment).

Article 6

The exporter may, upon the strength of the Export Permit Document, go through customs clearance formalities for two or more times
within the effective date of the Document with no limit on the times of customs declaration and export amount.

Article 7

The customs house shall, upon the original copy of Export Permit Document issued by the Ministry of Commerce, conduct export inspection
and clearance formalities for the components and parts of civil aviation as listed in Paragraph 2, Article 3 of the present Measures,
and retain the photocopy of the Export Permit Document and the declaration form for archival filing. The original copy of the Export
Permit Document shall be returned to the exporter or the agent.

Article 8

The exporter shall, within 30 days as of the expiration of the effective date of the Export Permit Document, report to the Ministry
of Commerce issues as follows, the export time, model numbers, quantities, trade method, importing countries (regions), importers,
end users, end users and the ports of entry of the components and parts of civil aviation exported under the Export Permit Document.

Article 9

In order to prepare the selective inspection of the Ministry of Commerce, the exporter shall keep the relevant contracts, invoices,
account books, documents, records, files, business letters and phone calls, sound and video recordings and other materials for at
least 5 years .

Article 10

Where an exporter violates the provisions of the present Measures, the Ministry of Commerce shall give him an admonition and impose
upon it a fine of less than 30,000 Yuan. When it is necessary, the Ministry of Commerce may, according to the Foreign Trade Law of
the People’s Republic of China and other relevant laws and regulations, order it to make corrections within a certain time limit
and cancel its Export Permit Document, and may not accept its application for an Export Permit Document within 3 years, or forbid
it to engage in the export business activities of relevant commodities within a certain time limit of not less than 1 year but not
more than 3 years.

The exporter violating the relevant laws and regulations on export control shall be punished according to relevant provisions.

Article 11

The power to interpret the present Measures shall remain with the Ministry of Commerce and the General Administration of Customs
in light of their respective functions.

Article 12

The present Measures shall come into force 30 days later after the promulgation.

As from October 9, 2006, the closing time of Spot Competitive Biding Transaction in inter-bank foreign exchange market will be extended
from 15￿￿0 to 17￿￿0, which is consistent with the closing time of Spot Inquiry Transaction.

2.

After receiving this circular, the Foreign Exchange Transaction Center of China shall proclaim the circular to members of inter-bank
foreign exchange market and organize relevant preparations, so as to guarantee the safe and steady function of the transaction system.
